Terms & Conditions

These Terms and Conditions govern the relationship between Kukuh Bina ("we", "us", "our") and any individual or organisation ("you", "the client") who engages our consulting services or uses our website. By engaging our services or making an enquiry, you acknowledge that you have read and understood these terms.

1. Our Services

Kukuh Bina provides business consulting services to small business owners, currently comprising three service arrangements:

  • Framework Review (RM 355) — A two-week structured review of your business operations, delivered as a written report with observations and suggestions. The scope covers roles, routines, and structural alignment as presented to us during the engagement.
  • Process Strengthening (RM 830) — A four-week engagement involving two advisory sessions and a written summary addressing specific operational processes. Scope is limited to processes discussed during the engagement and does not extend to areas outside those agreed upon at the outset.
  • Standing Companion (RM 1,560 per year) — A twelve-month advisory arrangement with monthly meetings, quarterly written summaries, and reachable support between sessions. The engagement continues month to month within the annual term unless formally concluded by either party.

All services are advisory in nature. Recommendations and observations offered by Kukuh Bina are intended to support informed decision-making. The client retains full authority over all business decisions.

2. Engagement and Confirmation

An engagement begins when both parties have agreed on the service, scope, and start date in writing — typically by email or a signed engagement letter. Verbal discussions prior to written confirmation are exploratory and do not constitute a binding commitment on either side.

We reserve the right to decline an engagement if we determine that our services are not a good fit for the client's current situation. In such cases, we will communicate this honestly and, where possible, suggest a more suitable course of action.

Any changes to the agreed scope during an active engagement must be discussed and agreed upon in writing before work on the revised scope begins.

3. Fees and Payment

Fees are as stated on our website and engagement documents. All fees are quoted in Malaysian Ringgit (RM) and are inclusive of applicable taxes unless stated otherwise.

  • Payment for Framework Review and Process Strengthening is due in full prior to the commencement of work, unless a separate arrangement is agreed in writing.
  • Payment for the Standing Companion arrangement is due at the start of the twelve-month term. Instalment arrangements may be discussed on a case-by-case basis.
  • Accepted payment methods will be communicated at the time of engagement confirmation.
  • Invoices not settled within 14 days of the due date may result in a pause in service delivery until payment is received.

If your circumstances change and you need to discuss payment timing, we encourage you to reach out early. We prefer open conversation over uncomfortable delays.

4. Cancellation and Rescheduling

We understand that circumstances change. Our approach to cancellations is as follows:

  • Sessions: Please provide at least 48 hours' notice if you need to reschedule a session. Sessions cancelled with less than 24 hours' notice may be treated as completed for billing purposes, at our discretion.
  • Framework Review & Process Strengthening: Cancellation before work commences entitles you to a full refund. Once work has begun, a fair proportion of the fee may be retained to reflect work completed to date.
  • Standing Companion: Early termination after the first three months may result in a partial refund for the unused portion of the term, at our discretion. No refund applies if termination occurs within the first three months.

5. Confidentiality

We treat all information shared during an engagement — including business details, financial information, operational concerns, and personal circumstances — with full discretion. This information is used solely for the purpose of delivering the agreed service.

We do not share, discuss, or disclose client information to third parties, except where required by Malaysian law or where you have given explicit written consent (for example, if a referral or introduction is agreed upon).

Similarly, we ask that clients treat any frameworks, methodologies, templates, or written materials provided by Kukuh Bina as proprietary to us. These materials are for your personal business use and should not be reproduced or redistributed without our written consent.

6. Intellectual Property

All written reports, summaries, frameworks, and documents produced by Kukuh Bina as part of an engagement are delivered for your exclusive use within your business. Ownership of the deliverables transfers to you upon full payment of the associated fee.

However, the underlying methodologies, approaches, and templates used to produce those deliverables remain the intellectual property of Kukuh Bina. These may not be reproduced, adapted, or shared externally without our written consent.

All content on our website — including text, structure, and design — is the property of Kukuh Bina and may not be reproduced without permission.

7. Limitation of Liability

Kukuh Bina provides advisory services. All recommendations are offered in good faith, based on the information provided to us during the engagement. We cannot and do not take responsibility for business outcomes that follow from the implementation of our suggestions.

The quality of our advisory work depends in part on the accuracy and completeness of the information you share with us. We are not liable for outcomes arising from incomplete, inaccurate, or withheld information.

To the extent permitted by Malaysian law, our total liability in connection with any engagement shall not exceed the total fees paid for that specific engagement.

8. Client Responsibilities

A productive engagement works best when the client is able to:

  • Be open about the current state of the business, including challenges and constraints
  • Attend agreed sessions punctually and prepared
  • Respond to questions and requests for clarification within a reasonable time
  • Make payment on the agreed schedule
  • Communicate any significant changes to the business that may affect the direction of the engagement

We aim to be a dependable presence in your corner. Honest, open communication from both sides makes that possible.

9. Dispute Resolution

If a concern or disagreement arises in connection with our services, we encourage you to contact us directly at [email protected] in the first instance. Most matters can be resolved through straightforward conversation.

If a matter cannot be resolved informally, the parties agree to seek mediation before pursuing formal legal proceedings. These Terms and Conditions are governed by and construed in accordance with the laws of Malaysia. Any disputes not resolved by mediation shall be subject to the exclusive jurisdiction of the courts of Malaysia.

10. Changes to These Terms

We may update these Terms and Conditions from time to time. The current version will always be published on this page, with the date of last update noted at the top. For active engagements, any changes to terms that affect the current arrangement will be communicated directly and agreed upon before taking effect.
